These terms govern use of Tyto Legal (“Tyto”, the “service”) at tytolegal.com. By creating an account, signing in, or using the service you agree to them. If you are accepting on behalf of a firm, you confirm you have authority to bind it, and “you” means the firm.
The service
Tyto is software for managing matters, contacts, documents, tasks, calendars, time, billing, trust accounting and related work. We provide the tools; you provide the judgment. Tyto is not a law firm and does not give legal, accounting or tax advice. Deadline calculations, rule sets, document reviews, AI output and accounting exports are aids that you are responsible for checking against the rules, facts and professional obligations that apply to you.
Accounts
- Each user must keep their sign-in credentials confidential and tell us promptly of any unauthorised use.
- Firm owners and admins control who has access to their firm’s account and what they can do. The firm is responsible for its users’ actions.
- You must provide accurate account information and keep it current.
Your data
Everything you enter into Tyto remains yours. You grant us the right to store, process and transmit it only as needed to provide the service, as described in our privacy policy. You are responsible for having the right to put the information into Tyto, including your clients’ information, and for meeting your own professional obligations regarding confidentiality, retention and trust accounting.
Acceptable use
You agree not to:
- use the service to break the law or to infringe anyone’s rights;
- attempt to access another firm’s data or to probe, scan or test the security of the service without written permission;
- upload malicious code or interfere with the service’s operation;
- resell or sublicense the service, or use it to build a competing product;
- send unsolicited bulk email through the service.
Client portal and electronic signatures
Firms may invite their clients to a portal to view invoices and matters, and may send documents for electronic signature. The firm is responsible for what it shares and for deciding whether an electronic signature is appropriate for a given document and jurisdiction. Tyto records the signer’s intent, consent, identity details as provided, and a tamper-evident hash of the signed document; it does not verify identity.
Integrations
You may connect third-party services such as QuickBooks Online and Google Calendar. Those services are governed by their own terms, and you authorise us to exchange data with them on your instruction. We are not responsible for the third party’s service, and a disconnect on either side stops the exchange. Figures sent to an accounting system are drawn from your Tyto records; you remain responsible for the accuracy of your books.
A user who connects Google Calendar does so for their own account and is responsible for choosing which calendars Tyto may read and write. Tyto copies events it creates to that calendar and reads busy times from the calendars the user selects, as described in the privacy policy. Your use of Google Calendar is also subject to Google’s terms of service and privacy policy.
AI features
AI features generate text and suggestions from your data. Output can be wrong, incomplete or out of date, and must be reviewed by a person before it is relied on or sent to anyone. Where the assistant can change records, you control that permission and every change is logged.
Fees and subscriptions
Paid plans are billed as set out when you subscribe. Fees are non-refundable except where the law requires otherwise. If a subscription lapses, the service becomes read-only until it is renewed, so your data stays reachable.
Availability and support
We aim to keep the service available at all times but do not guarantee uninterrupted operation. We may suspend the service for maintenance or to address a security issue, giving notice where practical. Support is by email at support@tytolegal.com.
Termination
You may stop using the service at any time and ask us to delete your data as described in the privacy policy. We may suspend or end an account that breaches these terms, after notice where the breach can be cured. On termination you may export your data for thirty days before it is deleted.
Warranties and liability
The service is provided “as is”. To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose. We are not liable for indirect, incidental or consequential losses, or for loss of profits, data or goodwill. Our total liability for any claim relating to the service is limited to the fees you paid us in the twelve months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
Indemnity
You will defend and indemnify us against claims arising from your data, your use of the service in breach of these terms, or your breach of your professional obligations.
Changes to these terms
We may update these terms. We will post the new version here with its date and notify customer firms of material changes by email. Continued use after a change means you accept it.
Governing law
These terms are governed by the laws of the State of Utah, United States, and any dispute will be brought in the courts located there, unless the law of your location requires otherwise.
